SOURCEME ELECTRONICS – STANDARD TERMS AND CONDITIONS OF TRADE
Applicable to all manual quotations, B2B sales, pro-forma invoices, and electronic commerce transactions via SourceMe Electronics’ digital platforms.
1. THE CONTRACTING PARTIES & OPERATIONAL INDEPENDENCE
1.1 All commercial trade transactions, product supplies, e-commerce orders, and account setups are exclusively contracted with SourceMe Electronics, a company incorporated under the laws of Singapore (hereinafter referred to as “The Seller” or “SourceMe Electronics”).
1.2 The Australian SourceMe entity (hereinafter referred to as “SourceMe Australia”) operates strictly as a local logistical service provider, resident warehouse handler, and Importer of Record (IOR) within Australia on behalf of the Seller. SourceMe Australia has no legal authority to negotiate, amend, conclude, assign, or sign contracts that legally bind SourceMe Electronics.
2. ORDER PLACEMENT, FORMATION OF CONTRACT & E-COMMERCE
2.1 Manual Quotes: Any price quotations, pro-forma documents, or cost configurations provided via email or PDF represent a conditional invitation to treat. A binding contract is only formed when the Customer issues a Purchase Order (PO) and SourceMe Electronics explicitly executes a digital Order Confirmation or issues a final commercial Tax Invoice out of its Singapore corporate office.
2.2 E-commerce Platform Orders: Receipt of an automated order confirmation email via SourceMe Electronics’ digital storefront does not constitute final acceptance of an order. SourceMe Electronics reserves the absolute right to cancel or amend electronic orders at any time prior to physical dispatch due to component stock discrepancies, rapid market price fluctuations, or credit vetting.
2.3 The Customer acknowledges that no verbal or written statement by Australian-based liaison personnel can bypass or override the required final Singapore board or system approval.
3. INVOICING, PRICES, CURRENCY & GST TREATMENT
3.1 Prices quoted or displayed electronically may be denominated in United States Dollars (USD) or Australian Dollars (AUD) at the Seller’s sole discretion.
3.2 In strict compliance with Australian taxation laws (including Resident Agent rules under Division 57 of the GST Act), SourceMe Electronics’ invoices will display a mandatory 10% Australian Goods and Services Tax (GST) where delivery occurs to an address within Australia, regardless of the currency denomination.
3.3 The Customer is legally obligated to pay the full gross invoiced amount (including GST) directly into SourceMe Electronics’ nominated bank accounts or multi-currency banking platforms (including, but not limited to, Airwallex or OFX). Payments made to any local Australian accounts not explicitly authorized by SourceMe Electronics on the face of the invoice will not constitute a valid discharge of debt.
4. COMPONENT QUALITY, DATE CODES & ANTI-COUNTERFEITING
4.1 SourceMe Electronics enforces strict anti-counterfeiting mitigation processes. All components distributed are sourced from authorized channels or subjected to internal quality tracking.
4.2 Unless explicitly requested by the Customer and confirmed in writing by SourceMe Electronics prior to order confirmation, SourceMe Electronics does not guarantee specific Manufacturer Date Codes (D/C) or lot numbers. All parts are supplied in accordance with standard industrial storage timelines.
4.3 The Customer must inspect all goods immediately upon receipt. Any claims regarding visible defects, incorrect part numbers, or quantity shortages must be submitted to SourceMe Electronics in writing within seven (7) days of delivery, failing which the goods shall be deemed conclusively accepted.
5. TITLE, RISK, AND DELIVERY FULFILLMENT
5.1 Legal title and ownership of all electronic components remains 100% with SourceMe Electronics in Singapore until the respective invoice is paid in full.
5.2 Local dispatch and final-mile courier delivery will be arranged out of a shared warehouse facility in Australia by SourceMe Australia acting as SourceMe Electronics’ fulfillment agent.
5.3 Risk of damage or loss passes to the Customer at the immediate point of dispatch from the warehouse gate or upon collection by the Customer’s nominated courier (FCA / EXW terms, unless otherwise negotiated in writing by the Singapore Board).
6. LIMITATION OF LIABILITY & CRITICAL APPLICATIONS
6.1 To the maximum extent permitted by law, SourceMe Electronics’ total liability for any defective components supplied shall be strictly limited to either the replacement of the goods or a refund of the purchase price paid by the Customer for those specific parts.
6.2 Consequential Loss Exclusion: SourceMe Electronics shall under no circumstances be liable for any indirect, incidental, or consequential damages, including but not limited to customer line-down costs, re-work labor costs, loss of profits, or interceptive manufacturing delays.
6.3 Critical Applications Defeasance: Components supplied by SourceMe Electronics are not authorized for use in critical life-support systems, medical implants, military/aerospace applications, or nuclear facilities unless explicitly certified by the original component manufacturer. The Customer indemnifies SourceMe Electronics against any claims resulting from unauthorized utilization in such applications.
7. GOVERNING LAW AND JURISDICTION
This commercial relationship, any resulting sales contracts, e-commerce checkouts, and any disputes arising out of the supply of components shall be governed by, and construed in accordance with, the laws of Singapore. The parties submit to the exclusive jurisdiction of the Singapore courts.
